Board
CLEMCO was established in 2003 to manage the grounds as a ‘resident management company’ under a mechanism which has been used on many new private housing developments in England.
CLEMCO is a company limited by guarantee under company law, and is governed by a Memorandum and Articles of Association, which may be viewed on the Companies House website for those interested in the legal detail. The boundaries of the estate are quite extensive, as shown on the map (below) where areas in green are public open space, pink is housing, blue is the Old College, yellow is College Court and brown is the roads and footpaths.
There are legal procedures for local authorities to adopt roads, sewers and drains, and flood control measures on estates like ours. The access roads and street lights have been adopted by North Yorkshire Council, and Yorkshire Water have responsibilities for sewers, drains and water supply.
The law anticipates that the freehold of any public open spaces and amenities which are not adopted by external authorities should ultimately be transferred to the residents management company, CLEMCO. So far, this has not happened for College Lawns.


In order to discharge its responsibilities CLEMCO employs a professional managing agent, the latest being Scanlans Property Management Ltd, and charges residents a service charge which covers management and maintenance expenditure whilst also maintaining a reserve fund to allow for unforeseen major expenditure. The estate management budget and service charge for 2024 is approved by the Board and announced at the beginning of each year.
CLEMCO holds an Annual General Meeting every year to which all Members, defined as the owners of freehold houses and leasehold apartments, are invited. This receives the managing agent’s annual report, adopts the accounts and approves any new directors. The Articles of Association restrict the maximum numbers of directors to five from the houses, four from the Old College and three from College Court. These two apartment buildings also have their own management companies, which operate under the procedures applicable to leasehold properties.
There is a lot to do, and the Board would welcome new directors, especially those interested in taking on the portfolios for Communications & IT, and Social & Community Affairs.
